GE Vernova has agreed to acquire high-voltage grid equipment manufacturer Trench Group from private equity firm Triton Partners for $9.0 billion. The transaction, announced Wednesday, positions the power equipment giant to capture a larger share of the surging global investment in electrical infrastructure.[1][5]

The Cambridge, Massachusetts-based company plans to fund the purchase equally through cash and debt. The deal is expected to close in late 2027, pending customary regulatory approvals and required consultations with employee representatives across multiple jurisdictions.[1][2]

Trench Group, headquartered in Berlin, brings a massive order book to the table, boasting approximately $5 billion in backlog and framework agreements. That visibility into future revenue is a critical asset in a grid hardware market where production slots are increasingly scarce and lead times stretch into years.[2][5]

"Trench's differentiated high-voltage grid technology, strong execution, and deep customer relationships are key enablers of the modernized, resilient grid required to keep pace with the electricity supercycle," said GE Vernova Chief Executive Scott Strazik.[1]

Trench Group brings a massive $5 billion backlog and highly profitable revenue projections to GE Vernova's portfolio.

The Electricity Supercycle

The acquisition arrives as power grids worldwide face unprecedented strain from multiple converging macroeconomic forces. The rapid expansion of artificial intelligence data centers, the integration of intermittent renewable energy sources, and the broader electrification of the industrial economy are pushing aging infrastructure to its absolute limits.[5]

To handle these shifting loads, utilities are ramping up spending on high-voltage transmission gear. Wind and solar farms are frequently located far from urban demand centers, requiring extensive new high-voltage direct current lines to transport power efficiently over long distances.[5]

Trench specializes in exactly the components required for these massive infrastructure upgrades. The company manufactures high- and medium-voltage bushings, which insulate conductors carrying high-voltage current through grounded enclosures, as well as instrument transformers that step down voltage for measurement and protection systems.[1][2]

The company's hardware is already foundational to the global electrical grid. According to GE Vernova, Trench's specialized coils and reactors—which manage power flow and stabilize grid voltage—are currently installed in the majority of high-voltage direct current lines constructed worldwide.[1]

Trench operates 11 manufacturing sites across North America, Europe, and Asia, employing more than 3,000 people. The company serves a diverse client base of more than 800 global utilities and hyperscale data center operators, providing a broad geographic hedge against regional market fluctuations.[1][2]

Financial Targets and Multiples

GE Vernova expects Trench to generate approximately $1.9 billion in revenue by 2028. The target includes an adjusted EBITDA margin of roughly 36 percent, signaling a highly profitable operation that benefits from significant pricing power in a constrained supply chain.[1][5]

The $9.0 billion purchase price reflects a multiple of 13 times Trench's projected 2028 adjusted EBITDA, calculated before any potential synergies are realized. Investors will be watching closely to see if the company's $5 billion backlog smoothly converts into those high-margin sales once manufacturing capacity is unlocked.[1][2]

For Triton Partners, the sale marks a highly lucrative exit and its fourth divestment in Germany over the past 18 months. The investment firm acquired Trench through its Triton Fund V and oversaw a period of rapid expansion that transformed the business from a corporate carve-out into an independent heavyweight.[2]

Under Triton's ownership, Trench's annual revenue doubled to surpass €1 billion, while order intake climbed beyond €2 billion. The company also completed three bolt-on acquisitions, implemented artificial intelligence across its value chain, and added more than 800 jobs to its global workforce.[2]

"The company has successfully strengthened its presence in grid-relevant high-voltage components and is today recognised as a major contributor to the global energy transition," said Steffen Reimund, a partner at Triton Partners and a member of the Trench advisory committee.[2]

GE Vernova raised its 2026 revenue forecast for the third consecutive time, signaling robust demand across its power segments.

Expanding US Manufacturing

A central piece of the acquisition's strategic value lies in Trench's expanding manufacturing footprint in the United States. The company recently opened a new production facility in Charlotte, North Carolina, aimed directly at supplying the North American market.[1][5]

Production of advanced 765-kilovolt equipment at the Charlotte plant is scheduled to begin in late 2027. This domestic capacity will allow GE Vernova to bypass international supply chain bottlenecks, reduce shipping costs for heavy equipment, and serve US utilities directly as they upgrade domestic grids.[1][5]

The integration of Trench will directly bolster GE Vernova's two largest Electrification businesses: Grid Systems Integration and Power Transmission. By bringing a major existing supplier in-house, the company secures its own supply chain for critical components while capturing the margin previously paid to a third party.[1]

The grid equipment market is currently defined by a severe shortage of manufacturing capacity rather than a lack of customer interest. By acquiring Trench's factories and specialized engineering workforce, GE Vernova is effectively buying guaranteed production volume in an environment where competitors are struggling to fulfill orders.[5]

A Broader Growth Trajectory

The Trench acquisition is just one indicator of GE Vernova's current momentum as an independent company. On the same day the deal was announced, the power equipment maker raised its 2026 full-year revenue forecast for the third consecutive time.[5]

GE Vernova now expects to bring in between $46.5 billion and $47.5 billion this year. The upward revision signals that demand across its power and electrification segments remains robust even before Trench's financials are added to the balance sheet.[5]

The transaction drew a roster of heavyweight Wall Street advisors, with Goldman Sachs and UBS Investment Bank advising GE Vernova, while Bank of America and Morgan Stanley counseled Triton Partners. Skadden, Arps, Slate, Meagher & Flom and Latham & Watkins served as legal counsel for the buyer and seller, respectively.[2]

As the late 2027 closing date approaches, the two companies will continue to operate entirely independently. The extended timeline reflects the complex regulatory landscape governing major acquisitions in critical national infrastructure across multiple continents.[2][4]

The $9.0 billion wager ultimately hinges on the durability of the current infrastructure boom. If utility spending continues its upward trajectory, securing a premier supplier of high-voltage components could cement GE Vernova's dominance in the next era of global grid modernization.[1][5]
